GENERAL TERMS AND CONDITIONS OF SALE

Pakéo Packaging Inc.

1. Purpose and scope of application

   1. These General Terms and Conditions of Sale (hereinafter the “GTC”) govern all sales of products and services carried out by Emballages Pakéo inc. (hereinafter “Pakéo”) to its professional clients (hereinafter the “Client”).

   3. Any order placed with Pakéo implies the full, unconditional and irrevocable acceptance of these GTC.

2. Waiver of the Client’s terms

   1. The Client expressly waives the application of its own general purchasing conditions or any other contractual provisions, even if such conditions are established after these GTC.
   2. 
      
   3. Any deviation from these GTC shall only be valid if it has been expressly accepted in writing by Pakéo.
   4. 
      

3. Products and services 

   1. Pakéo’s products and services are described as accurately as possible.
   2. However, minor variations, including but not limited to dimensions, colors, finishes or materials, may occur and shall not give rise to Pakéo’s liability.

4. Prices and taxes

   1. Prices are stated in Canadian dollars (CAD), unless otherwise indicated, and are exclusive of taxes.
   2. 
      
   3. Applicable taxes, including GST and QST, are added in accordance with the tax legislation in force at the time of invoicing.

6. Payment terms

   1. Unless otherwise expressly agreed in writing by Pakéo, payment is due in full at the time the order is placed.
   2. 
      

   3. The following payment methods are accepted:

   • • credit and debit cards;

     • bank transfers;

     • bank deposits;

     • any other payment method expressly accepted by Pakéo.

No order shall be processed, produced or delivered until full payment has been received and confirmed by Pakéo.

8. Default of payment

   1. In the event of non-payment or late payment, Pakéo reserves the right to immediately suspend any order, production, delivery or service in progress, without any compensation being due to the Client.

   3. Any administrative, banking, collection or legal costs incurred to recover outstanding amounts shall be entirely borne by the Client.

10. Withholding taxes and foreign legislation

    1. In certain countries, withholding taxes may be imposed under local legislation.
    2. Such withholdings shall remain the sole responsibility of the Client, who remains liable to pay Pakéo the full amount of the invoice, without deduction.

    4. Pakéo shall not be held responsible for tax, regulatory or administrative obligations specific to the country in which the Client is established.

11.  Delivery times

    1. Delivery or production timelines are provided for indicative purposes only. Pakéo undertakes to use all reasonable means to meet announced deadlines, without such deadlines constituting an obligation of result.

    3. Any delay shall in no event justify the cancellation of the order or give rise to penalties or damages.

12. Claims

    1. Any claim, in order to be admissible, must be submitted in writing and notified to Pakéo within a maximum period of eight (8) days following delivery of the products or performance of the services.

    3. Failing this, the products and services shall be deemed accepted without reservation.
    4. 
       

13. Limitation of liability

    1. Pakéo’s liability is strictly limited to the amount exclusive of taxes of the relevant invoice.
    2. 
       
    3. Under no circumstances shall Pakéo be held liable for indirect damages, loss of operations, loss of profits, commercial losses or intangible damages suffered by the Client.

14. Relationship with end consumers

    1. Pakéo shall under no circumstances be held responsible for the contractual relationships between the Client and its own customers or end consumers, nor be required to intervene as a third party in any dispute between them.

16. Governing law and jurisdiction

    1. These GTC are governed and interpreted in accordance with the laws of the Province of Québec, as well as the applicable federal laws of Canada.
    2. 
       
    3. Any dispute relating to their interpretation, performance or validity shall fall under the exclusive jurisdiction of the courts of the judicial district of Pakéo’s registered office, Province of Québec.
    4. 
       

17. Language

    1. These General Terms and Conditions of Sale are drafted in French. In the event of translation, the French version shall prevail.
